Terms & Conditions

Sipher is a distributed application that runs on the Ethereum network, using uniquely coded smart contracts (each, a “Smart Contract”) that allow users to acquire, buy and sell own and transfer, the unique digital characters known as Sipher (hereafter “Sipher”) located at www.Sipher.xyz (the “Site”). The Smart Contracts and the Site are collectively referred to in these T&C as the “App”. Using the App, users can view their Sipher, and use the Smart Contracts to acquire, buy, sell, own, trade and transfer Sipher on the Ethereum network.

Sipher ("Sipher”, "we", or "us") is the party making the App available for you to use. Before using the App, the Smart Contracts, or the Site, you must agree to these T&C and any other terms and conditions incorporated or referenced herein (the T&C and any other terms and conditions incorporated or referenced herein are collectively referred to as the “Terms”).

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE APP, THE SMART CONTRACTS, OR THE SITE. THESE TERMS GOVERN YOUR USE OF THE APP, THE SMART CONTRACTS, AND THE SITE, UNLESS Sipher SURGE HAS AGREED TO DIFFERENT WRITTEN AGREEMENT WITH YOU TO THE CONTRARY, SIGNED BY BOTH PARTIES. Sipher SURGE IS ONLY WILLING TO MAKE THE APP, THE SMART CONTRACTS, AND THE SITE AVAILABLE TO YOU IF YOU ACCEPT ALL OF THESE TERMS. BY USING THE APP, THE SMART CONTRACTS, THE SITE, OR ANY PART THEREOF, YOU ARE CONFIRMING THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY ALL OF THE TERMS CONTAINED HEREIN. . IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO ACCEPT THESE TERMS ON THAT ENTITY’S BEHALF, IN WHICH CASE “YOU” WILL MEAN THAT COMPANY OR LEGAL ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT ACCEPT ALL OF THESE TERMS, THEN WE ARE NOT WILLING TO MAKE THE APP, THE SMART CONTRACTS, OR THE SITE AVAILABLE TO YOU. IF YOU DO NOT FULLY AGREE TO THESE TERMS, YOU ARE NOT PERMITTED TO ACCESS OR USE THE APP, THE SMART CONTRACTS, OR THE SITE. ALL TRANSACTIONS INITIATED THROUGH THE APP ARE FACILITATED AND RUN BY THIRD-PARTY ELECTRONIC WALLETS ON THE ETHEREUM BLOCKCHAIN, AND BY USING THE APP YOU AGREE THAT YOU ARE GOVERNED BY THE TERMS OF SERVICE AND PRIVACY POLICY FOR THOSE APPLICABLE WALLETS. WE ARE NOT A BROKER, FINANCIAL INSTITUTION, OR CREDITOR. THE APP IS AN ADMINISTRATIVE PLATFORM ONLY. WE FACILITATE TRANSACTIONS BETWEEN THE BUYER AND SELLER BUT ARE NOT A PARTY TO ANY AGREEMENT BETWEEN THE BUYER AND SELLER (UNLESS WE ARE THE SELLER). YOU BEAR FULL RESPONSIBILITY FOR VERIFYING THE IDENTITY, LEGITIMACY, AND AUTHENTICITY OF ANY ASSETS YOU PURCHASE.

  1. The App

    1. To use the App, you will need to have a web browser and an Ethereum wallet that is compatible with the Non-Fungible Token (NFT) standard on the Ethereum network.

    2. All transactions regarding Sipher are managed and confirmed via the Ethereum blockchain. You understand that your Ethereum public address may be made publicly visible whenever you engage in a transaction.

    3. We do not own nor control your web browser, your Ethereum wallet, the Ethereum network, or any other third-party site, product, or service that you might access, visit, or use for the purpose of enabling you to perform a transaction with your Sipher. We are not liable for the acts or omissions of any such third parties, nor will we be liable for any damage that you may suffer as a result of your transactions or any other interaction with any such third parties.

    4. You may be able to create an account on the Site. If so, you agree to provide true, accurate and complete information about yourself. If you become aware of any unauthorized use of your account, contact us immediately.

    5. The App may show certain pricing data that has been loaded and collected from the Ethereum blockchain. We are not liable for any incorrect information or typographical errors of any kind, including any incorrect information that is due to a coding error, blockchain code errors or due to a data outage. It is your duty and obligation to confirm any and all pricing data on your own and base any decisions you make on your own information and data.

    6. Any calculations that are displayed on the App are for information purposes only. These calculations are in no way predictions of value and you agree that you will not construe these calculations as predictions of future prices or values in any way or that we are giving you any advice on what to purchase or not to purchase. All such decisions are made in your sole discretion without reliance on any information provided on the App.

    7. We are not responsible or liable for any transactions that are cancelled by a seller.

  2. Ownership, License, Restrictions

    1. Definitions

    2. "Art" means any art, design, and drawings that may be associated with a Sipher that you Own

    3. "Own" means, with respect to a Sipher, a Sipher that you have purchased or otherwise rightfully acquired from a legitimate source, where proof of such purchase is recorded on the relevant Ethereum blockchain.

    4. "Purchased Sipher" means a Sipher that you Own.

    5. "Third Party IP" means any third-party patent rights, copyrights, trade secrets, trademarks, know-how or any other intellectual property rights recognized in any country or jurisdiction in the world.

    6. Ownership

    7. When you purchase a Sipher, you own only the NFT, not any associated Art. Each Sipher is associated with a non-fungible token (an “NFT”) on the Ethereum blockchain. When you acquire a Sipher, you own the NFT, not the associated Art, or any other Sipher Materials (as that term is defined below), or any Third Party IP. You can trade the NFT, sell it, or give it away for free. Ownership of the NFT is governed solely by the Smart Contract and the Ethereum Network.

    8. We Own the App, and the App includes the Art. You acknowledge and agree that Sipher (or, as applicable, our licensors) owns all legal right, title and interest in and to all other elements of the App, and all intellectual property rights therein (including, without limitation, all Art, designs, names, copyrights, trademarks, patents, systems, methods, information, computer code, software, services, “look and feel”, organization, compilation of the content, code, data, and all other elements of the App (collectively, the “Sipher Materials”)). Other than expressly stated in these Terms, you do not have any other rights in the Sipher Materials. You acknowledge that the Sipher Materials are protected by, as applicable, copyright, trade dress, patent, and trademark laws, international conventions, other relevant intellectual property and proprietary rights, and applicable laws. You may not use the Sipher name without our prior written consent. Except as expressly set forth herein, your use of the App does not grant you ownership of or any other rights with respect to any Art, content, code, data, or other Sipher Materials that you may access on or through the App. We reserve all rights in and to the Sipher Materials that are not expressly granted to you in these Terms. For the avoidance of doubt, you understand and agree:

    9. That your acquisition or purchase of a Sipher , whether via the App or otherwise, does not give you any rights or licenses in or to the Sipher Materials (including, without limitation, our copyright in and to the associated Art or the Sipher name/trademark) other than those expressly contained in these Terms.

    10. That you do not have the right, except as otherwise set forth in these Terms, to reproduce, distribute, or otherwise commercialize any elements of the Sipher Materials (including, without limitation, any Art) without our prior written consent in each case, which consent we may withhold in our sole and absolute discretion

    11. That you will not apply for, register, or otherwise use or attempt to use any Sipher trademarks or service marks, or any confusingly similar marks, anywhere in the world without our prior written consent in each case, which consent we may withhold in our sole and absolute discretion.

    12. License to Art

    13. General Use. Subject to your full and continued compliance with these Terms, Sipher grants you a limited worldwide, non-exclusive, non-transferable, royalty-free license to use, copy, and display the Art of your Purchased Sipher solely for the following purposes:

    14. For your own personal, non-commercial use.

    15. As part of a marketplace that permits the purchase and sale of your Purchased Sipher , provided that the marketplace cryptographically verifies each Sipher owner’s rights to display the Art for their Purchased Sipher to ensure that only the actual owner of the NFT can display the Art.

    16. Or as part of a third party website or application that permits the inclusion, involvement, or participation of your Purchased Sipher , provided that the website/application cryptographically verifies each Sipher owner’s rights to display the Art for their Purchased Sipher to ensure that only the actual owner of the NFT can display the Art, and provided that the Art is no longer visible once the owner of the Purchased Sipher leaves or logs out of the applicable website/application.

    17. Non-digital Commercial Use. Subject to your continued compliance with these Terms, Sipher grants you a limited, worldwide, non-exclusive, non-transferable license to use, copy, and display the Art for your Purchased Sipher for the purpose of commercializing your own physical merchandise that includes, contains, or consists of the Art for your Purchased Sipher (“Commercial Use”), provided that such Commercial Use does not.

    18. Include any form of collaboration or involvement of any brand or other third party.

    19. Or result in you earning more than USD$100,000 in gross revenue each year. In the event your Commercial Use exceeds USD$100,000 in a given year, you will need to enter into a commercial license with us. If you exceed the USD$100,000 limitation, you will be in breach of these Terms, and must contact Sipher regarding entering into a broader license agreement (which will be in Sipher ’s sole and absolute discretion). Without entering into a commercial license with us, you acknowledge and agree that:

    20. You are in breach of these Terms.

    21. In addition to any remedies that may be available to Sipher at law or in equity, Sipher may immediately terminate the license granted above.

    22. And you will be liable and responsible to reimburse Sipher for any costs and expenses incurred by Sipher during the course of enforcing these Terms against you (including attorney and legal fees).

    23. Restrictions

You agree that you may not, nor permit any third party to do or attempt to do any of the foregoing without Shipher express prior written consent in each case:

    24. Modify the Art for your Purchased Sipher in any way, including, without limitation, the shapes, designs, drawings, attributes, or color schemes.

    25. Use the Art for your Purchased Sipher to advertise, market, or sell any third party product or service.

    27. Use the Art for your Purchased Sipher in movies, videos, or any other forms of media, except to the limited extent that such use is expressly permitted in these Terms or solely for your own personal, non-commercial use.

    28. Sell, distribute for commercial gain (including, without limitation, giving away in the hopes of eventual commercial gain), or otherwise commercialize merchandise that includes, contains, or consists of the Art for your Purchased Sipher , except as expressly permitted in these Terms.

    29. Attempt to trademark, copyright, or otherwise acquire additional intellectual property rights in or to the Art for your Purchased Sipher or

    30. Otherwise utilize the Art for your Purchased Sipher for your or any third party’s commercial benefit. To the extent that Art associated with your Purchased Sipher contains Third Party IP (e.g., licensed intellectual property from a celebrity, athlete, or other public figure), you understand and agree as follows:

    31. That you will not have the right to use such Third Party IP in any way except as incorporated in the Art, and subject to the license and restrictions contained herein.

    32. That the Commercial Use license in Section 3.C(ii) above will not apply.

    33. That, depending on the nature of the license granted from the owner of the Third Party IP, Sipher may need to pass through additional restrictions on your ability to use the Art.

    34. and to the extent that Sipher informs you of such additional restrictions in writing (email being acceptable), you will be responsible for complying with all such restrictions from the date that you receive the notice, and that failure to do so will be deemed a breach of this license. For the avoidance of doubt, it is strictly prohibited and a violation of these Terms to use any Art or Purchased Sipher in order to create a similar or derivative NFT based on the Art or Purchased Sipher . Such use constitutes a violation of these Terms as well as intellectual property infringement, which would cause monetary damages and irreparable harm to Sipher . The restrictions in this Section will survive the expiration or termination of these Terms.

    35. Restrictions

The license granted in Section 3.C above applies only to the extent that you continue to Own the applicable Purchased Sipher . If at any time you sell, trade, donate, give away, transfer, or otherwise dispose of your Purchased Sipher for any reason, the license granted in Section 3.C will immediately expire with respect to you and that Sipher without requiring notice, and you will have no further rights in or to the Art for that Sipher.

    36. Feedback

You may submit comments, bug reports, ideas or other feedback about the App (collectively, “Feedback”). You hereby grant us a perpetual, irrevocable, nonexclusive, worldwide license under all rights necessary for us to incorporate and use your Feedback for any purpose. The Company is acting solely as an arms’ length third party in relation to the $SIPHER distribution, and not in the capacity as a financial advisor or fiduciary of any person with regard to the distribution of $SIPHER. Nature of the Whitepaper: The Whitepaper and the Website are intended for general informational purposes only and do not constitute a prospectus, an offer document, an offer of securities, a solicitation for investment, or any offer to sell any product, item or asset (whether digital or otherwise). 3. Token Documentation: Nothing in the Whitepaper or the Website constitutes any offer by the Company, the Distributor or the Sipher team to sell any $SIPHER (as defined herein) nor shall it or any part of it nor the fact of its presentation form the basis of, or be relied upon in connection with, any contract or investment decision. Nothing contained in the Whitepaper or the Website is or may be relied upon as a promise, representation or undertaking as to the future performance of Sipher. The agreement between the Distributor (or any third party) and you, in relation to any distribution or transfer of $SIPHER, is to be governed only by the separate terms and conditions of such agreement. The information set out in the Whitepaper and the Website is for community discussion only and is not legally binding. No person is bound to enter into any contract or binding legal commitment in relation to the acquisition of $SIPHER, and no virtual currency or other form of payment is to be accepted on the basis of the Whitepaper or the Website. The agreement for distribution of $SIPHER and/or continued holding of $SIPHER shall be governed by a separate set of Terms and Conditions or Token Distribution Agreement (as the case may be) setting out the terms of such distribution and/or continued holding of $SIPHER (the Terms and Conditions), which shall be separately provided to you or made available on the Website. The Terms and Conditions must be read together with the Whitepaper. In the event of any inconsistencies between the Terms and Conditions and the Whitepaper or the Website, the Terms and Conditions shall prevail.

                4. Deemed Representations and Warranties: By accessing the Whitepaper or the Website (or any part thereof), you shall be deemed to represent and warrant to the Company, the Distributor, their respective affiliates, and the Sipher team as follows:

                5. In any decision to acquire any $SIPHER, you have shall not rely on any statement set out in the Whitepaper or the Website.

                6. You will and shall at your own expense ensure compliance with all laws, regulatory requirements and restrictions applicable to you (as the case may be)

                7. You acknowledge, understand and agree that $ SIPHER may have no value, there is no guarantee or representation of value or liquidity for $ SIPHER, and $ SIPHER is not an investment product nor is it intended for any speculative investment whatsoever.

                8. None of the Company, the Distributor, their respective affiliates, and/or the SIPHER team members shall be responsible for or liable for the value of $ SIPHER, the transferability and/or liquidity of $ SIPHER and/or the availability of any market for $ SIPHER through third parties or otherwise.

                9. You acknowledge, understand and agree that you are not eligible to participate in the distribution of $ SIPHER if you are a citizen, national, resident (tax or otherwise), domiciliary and/or green card holder of a geographic area or country:

                10. Where it is likely that the distribution of $ SIPHER would be construed as the sale of a security (howsoever named), financial service or investment product and/or

                11. Where participation in token distributions is prohibited by applicable law, decree, regulation, treaty, or administrative act (including without limitation the United States of America and the People's Republic of China); and to this effect you agree to provide all such identity verification document when requested in order for the relevant checks to be carried out.

                12. The Company, the Distributor and the SIPHER team do not and do not purport to make, and hereby disclaims, all representations, warranties or undertaking to any entity or person (including without limitation warranties as to the accuracy, completeness, timeliness or reliability of the contents of the Whitepaper or the Website, or any other materials published by the Company or the Distributor). To the maximum extent permitted by law, the Company, the Distributor, their respective affiliates and service providers shall not be liable for any indirect, special, incidental, consequential or other losses of any kind, in tort, contract or otherwise (including, without limitation, any liability arising from default or negligence on the part of any of them, or any loss of revenue, income or profits, and loss of use or data) arising from the use of the Whitepaper or the Website, or any other materials published, or its contents (including without limitation any errors or omissions) or otherwise arising in connection with the same. Prospective acquirors of $SIPHER should carefully consider and evaluate all risks and uncertainties (including financial and legal risks and uncertainties) associated with the distribution of $SIPHER, the Company, the Distributor and the SIPHER team.

                13. Token functionalities: $SIPHER is a non-refundable functional utility token which will be used as the medium of exchange between participants on SIPHER. The goal of introducing $SIPHER is to provide a convenient and secure mode of payment and settlement between participants who interact within the ecosystem on SIPHER, and it is not, and not intended to be, a medium of exchange accepted by the public (or a section of the public) as payment for goods or services or for the discharge of a debt; nor is it designed or intended to be used by any person as payment for any goods or services whatsoever that are not exclusively provided by the issuer. $SIPHER does not in any way represent any shareholding, participation, right, title, or interest in the Company, the Distributor, their respective affiliates, or any other company, enterprise or undertaking, nor will $SIPHER entitle token holders to any promise of fees, dividends, revenue, profits or investment returns, and are not intended to constitute securities in Singapore or any relevant jurisdiction. $SIPHER may only be utilised on SIPHER, and ownership of $SIPHER carries no rights, express or implied, other than the right to use $SIPHER as a means to enable usage of and interaction within SIPHER.

                14. $SIPHER also provides the economic incentives which will be distributed to encourage users to contribute and maintain the ecosystem on SIPHER, thereby creating a win-win system where every participant is fairly compensated for its efforts. $SIPHER is an integral and indispensable part of SIPHER, because without $SIPHER, there would be no incentive for users to expend resources to participate in activities or provide services for the benefit of the entire ecosystem on SIPHER. Given that additional $SIPHER will be awarded to a user based only on its actual usage, activity and contribution on SIPHER, users of SIPHER and/or holders of $SIPHER which did not actively participate will not receive any $SIPHER incentives.

                15. $SIPHER are designed to be utilized, and that is the goal of the $SIPHER distribution. In fact, the project to develop SIPHER would fail if all $SIPHER holders simply held onto their $SIPHER and did nothing with it. In particular, it is highlighted that $SIPHER:

                16. Does not have any tangible or physical manifestation, and does not have any intrinsic value (nor does any person make any representation or give any commitment as to its value).

                17. Is non-refundable and cannot be exchanged for cash (or its equivalent value in any other virtual currency) or any payment obligation by the Company, the Distributor or any of their respective affiliates.

                18. Does not represent or confer on the token holder any right of any form with respect to the Company, the Distributor (or any of their respective affiliates), or its revenues or assets, including without limitation any right to receive future dividends, revenue, shares, ownership right or stake, share or security, any voting, distribution, redemption, liquidation, proprietary (including all forms of intellectual property or licence rights), right to receive accounts, financial statements or other financial data, the right to requisition or participate in shareholder meetings, the right to nominate a director, or other financial or legal rights or equivalent rights, or intellectual property rights or any other form of participation in or relating to SIPHER, the Company, the Distributor and/or their service providers.

                19. Is not intended to represent any rights under a contract for differences or under any other contract the purpose or pretended purpose of which is to secure a profit or avoid a loss.

                20. Is not intended to be a representation of money (including electronic money), security, commodity, bond, debt instrument, unit in a collective investment scheme or any other kind of financial instrument or investment.

                21. Is not a loan to the Company, the Distributor or any of their respective affiliates, is not intended to represent a debt owed by the Company, the Distributor or any of their respective affiliates, and there is no expectation of profit.

                22. And does not provide the token holder with any ownership or other interest in the Company, the Distributor or any of their respective affiliates.

                23. Notwithstanding the $SIPHER distribution, users have no economic or legal right over or beneficial interest in the assets of the Company, the Distributor, or any of their affiliates after the token distribution.

                24. To the extent a secondary market or exchange for trading $SIPHER does develop, it would be run and operated wholly independently of the Company, the Distributor, the distribution of $SIPHER and SIPHER. Neither the Company nor the Distributor will create such secondary markets nor will either entity act as an exchange for $SIPHER.

                25. Informational purposes only: The information set out herein is only conceptual, and describes the future development goals for SIPHER to be developed. In particular, the project roadmap in the Whitepaper is being shared in order to outline some of the plans of the SIPHER team, and is provided solely for INFORMATIONAL PURPOSES and does not constitute any binding commitment. Please do not rely on this information in deciding whether to participate in the token distribution because ultimately, the development, release, and timing of any products, features or functionality remains at the sole discretion of the Company, the Distributor or their respective affiliates, and is subject to change. Further, the Whitepaper or the Website may be amended or replaced from time to time. There are no obligations to update the Whitepaper or the Website, or to provide recipients with access to any information beyond what is provided herein.

                26. Regulatory approval: No regulatory authority has examined or approved, whether formally or informally, of any of the information set out in the Whitepaper or the Website. No such action or assurance has been or will be taken under the laws, regulatory requirements or rules of any jurisdiction. The publication, distribution or dissemination of the Whitepaper or the Website does not imply that the applicable laws, regulatory requirements or rules have been complied with.

                27. Cautionary Note on forward-looking statements: All statements contained herein, statements made in press releases or in any place accessible by the public and oral statements that may be made by the Company, the Distributor and/or the SIPHER team, may constitute forward-looking statements (including statements regarding intent, belief or current expectations with respect to market conditions, business strategy and plans, financial condition, specific provisions and risk management practices). You are cautioned not to place undue reliance on these forward-looking statements given that these statements involve known and unknown risks, uncertainties and other factors that may cause the actual future results to be materially different from that described by such forward-looking statements, and no independent third party has reviewed the reasonableness of any such statements or assumptions. These forward-looking statements are applicable only as of the date indicated in the Whitepaper, and the Company, the Distributor as well as the SIPHER team expressly disclaim any responsibility (whether express or implied) to release any revisions to these forward-looking statements to reflect events after such date.

                28. References to companies and platforms: The use of any company and/or platform names or trademarks herein (save for those which relate to the Company, the Distributor or their respective affiliates) does not imply any affiliation with, or endorsement by, any third party. References in the Whitepaper or the Website to specific companies and platforms are for illustrative purposes only.

                29. English language: The Whitepaper and the Website may be translated into a language other than English for reference purpose only and in the event of conflict or ambiguity between the English language version and translated versions of the Whitepaper or the Website, the English language versions shall prevail. You acknowledge that you have read and understood the English language version of the Whitepaper and the Website.

                30. No Distribution: No part of the Whitepaper or the Website is to be copied, reproduced, distributed or disseminated in any way without the prior written consent of the Company or the Distributor. By attending any presentation on this Whitepaper or by accepting any hard or soft copy of the Whitepaper, you agree to be bound by the foregoing limitations.

                31. Risks: You acknowledge and agree that there are numerous risks associated with acquiring $SIPHER, holding $SIPHER, and using $SIPHER for participation in SIPHER. In the worst scenario, this could lead to the loss of all or part of $SIPHER held. IF YOU DECIDE TO ACQUIRE $SIPHER, YOU EXPRESSLY ACKNOWLEDGE, ACCEPT AND ASSUME THE FOLLOWING RISKS:

                32. Uncertain Regulations and Enforcement Actions: The regulatory status of $SIPHER and distributed ledger technology is unclear or unsettled in many jurisdictions. The regulation of virtual currencies has become a primary target of regulation in all major countries in the world. It is impossible to predict how, when or whether regulatory agencies may apply existing regulations or create new regulations with respect to such technology and its applications, including $SIPHER and/or SIPHER. Regulatory actions could negatively impact $SIPHER and/or SIPHER in various ways. The Company, the Distributor (or their respective affiliates) may cease operations in a jurisdiction in the event that regulatory actions, or changes to law or regulation, make it illegal to operate in such jurisdiction, or commercially undesirable to obtain the necessary regulatory approval(s) to operate in such jurisdiction. After consulting with a wide range of legal advisors and continuous analysis of the development and legal structure of virtual currencies, a cautious approach will be applied towards the distribution of $SIPHER. Therefore, for the token distribution, the distribution strategy may be constantly adjusted in order to avoid relevant legal risks as much as possible.

                33. Inadequate disclosure of information: As at the date hereof, SIPHER is still under development and its design concepts, consensus mechanisms, algorithms, codes, and other technical details and parameters may be constantly and frequently updated and changed. Although this whitepaper contains the most current information relating to SIPHER, it is not absolutely complete and may still be adjusted and updated by the SIPHER team from time to time. The SIPHER team has no ability and obligation to keep holders of $SIPHER informed of every detail (including development progress and expected milestones) regarding the project to develop SIPHER, hence insufficient information disclosure is inevitable and reasonable.

                34. Competitors: Various types of decentralised applications and networks are emerging at a rapid rate, and the industry is increasingly competitive. It is possible that alternative networks could be established that utilise the same or similar code and protocol underlying $SIPHER and/or SIPHER and attempt to re-create similar facilities. SIPHER may be required to compete with these alternative networks, which could negatively impact $SIPHER and/or SIPHER.

                35. Failure to develop: There is the risk that the development of SIPHER will not be executed or implemented as planned, for a variety of reasons, including without limitation the event of a decline in the prices of any digital asset, virtual currency or $SIPHER, unforeseen technical difficulties, and shortage of development funds for activities.

                36. Security weaknesses: Hackers or other malicious groups or organisations may attempt to interfere with $SIPHER and/or SIPHER in a variety of ways, including, but not limited to, malware attacks, denial of service attacks, consensus-based attacks, Sybil attacks, smurfing and spoofing. Furthermore, there is a risk that a third party or a member of the Company, the Distributor or their respective affiliates may intentionally or unintentionally introduce weaknesses into the core infrastructure of $SIPHER and/or SIPHER, which could negatively affect $SIPHER and/or SIPHER. Further, the future of cryptography and security innovations are highly unpredictable and advances in cryptography, or technical advances (including without limitation development of quantum computing), could present unknown risks to $SIPHER and/or SIPHER by rendering ineffective the cryptographic consensus mechanism that underpins that blockchain protocol.

                37. Other risks: In addition, the potential risks briefly mentioned above are not exhaustive and there are other risks (as more particularly set out in the Terms and Conditions) associated with your acquisition of, holding and use of $SIPHER, including those that the Company or the Distributor cannot anticipate. Such risks may further materialize as unanticipated variations or combinations of the aforementioned risks. You should conduct full due diligence on the Company, the Distributor, their respective affiliates, and the SIPHER team, as well as understand the overall framework, mission and vision for SIPHER prior to acquiring $SIPHER.
